1. Acceptance of Terms

By accessing and using the Fidelity Bank Ghana Invoice Factoring Platform ("the Platform"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform.

2. Services Description

The Platform provides invoice factoring services, allowing businesses to sell their outstanding invoices to Fidelity Bank Ghana Limited in exchange for immediate working capital. Additional services may include invoice verification, credit assessment, and portfolio management.

3. Eligibility

To use our factoring services, you must:

• Be a legally registered business in Ghana
• Have been in operation for at least 6 months
• Have creditworthy buyers/debtors
• Provide accurate and complete information
• Comply with all applicable laws and regulations

4. Invoice Requirements

Invoices submitted for factoring must:

• Represent genuine, completed transactions
• Be free from any disputes or claims
• Not be subject to any prior assignment or pledge
• Be within approved credit limits
• Be from approved buyers on our platform

5. Fees and Charges

Our factoring fees are disclosed in your facility agreement and include discount rates based on invoice value and tenor. Additional charges may apply for late payments, chargebacks, or administrative services. All fees are subject to applicable taxes.

6. User Responsibilities

As a user of the Platform, you agree to:

• Maintain accurate account information
• Keep your login credentials secure
• Notify us immediately of unauthorized access
• Submit only valid, undisputed invoices
• Cooperate in our verification processes
• Repay any amounts due under your facility

7. Limitation of Liability

Fidelity Bank Ghana Limited shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the Platform or our services. Our total liability shall not exceed the fees paid by you in the preceding 12 months.

8. Termination

We reserve the right to suspend or terminate your access to the Platform at any time for violation of these terms, fraudulent activity, or any other reason we deem appropriate. You may terminate your account by providing written notice, subject to settlement of all outstanding obligations.

9. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ghana.

10. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of any material changes by posting the new terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform constitutes acceptance of the revised terms.
